Trade Partner Program Terms & Conditions

These Terms and Conditions govern participation in the Kneen & Co Trade Partner Program (the “Trade Program”) available at kneenandco.com and through any Kneen & Co trade portal, quote, invoice, or order process.

By applying for, being approved for, or using Trade Program benefits, you agree to be bound by these Trade Terms in addition to Kneen & Co’s standard Terms and Conditions of Use, Privacy Policy, Return & Exchange Policy, and all other policies published on the Website (collectively, the “General Terms”). In the event of any conflict between these Trade Terms and the General Terms with respect to Trade Program eligibility, benefits, pricing, or order processing, these Trade Terms shall control.

1. Trade Partner Program Overview

The Kneen & Co Trade Partner Program is designed to serve qualified professionals in interior design, architecture, hospitality, event design, home staging, real estate development, and related design-focused industries.

Approved Trade Partners may receive access to preferred pricing, applicable tax accommodations, and other program benefits as determined by Kneen & Co. Participation in the Trade Program is a privilege, not a right, and may be modified, suspended, or revoked at any time at the sole discretion of Kneen & Co.

2. Eligibility & Qualifying Industries

To be eligible for the Trade Program, applicants must be active professionals in a qualifying field, including but not limited to:

  • Interior design, residential or commercial
  • Architecture and architectural design
  • Home staging and property styling
  • Real estate development with a demonstrated design procurement role
  • Event and hospitality design
  • Set design and art direction
  • Other related trades, subject to review and approval by Kneen & Co

Kneen & Co reserves the right to determine eligibility, approve or deny applications, request additional documentation, and revoke Trade Partner status at any time.

3. Application & Approval

To participate in the Trade Program, applicants must submit a Trade Partner application through the Website or another process approved by Kneen & Co. As part of the application, applicants may be required to provide:

  • Business name, contact information, and website
  • Proof of professional licensure, certification, business registration, or resale certificate
  • A description of the applicant’s business and intended use of Kneen & Co products
  • Project references or other verification materials, if requested

Submission of an application does not guarantee approval. Kneen & Co reserves the right to approve, deny, or revoke Trade Partner status without obligation to provide a reason.

4. Trade Partner Benefits

4.1 Trade Discount

Approved and active Trade Partners may receive preferred pricing on eligible merchandise purchased through the Website, a trade portal, quote, or invoice. Unless otherwise agreed in writing, approved Trade Partners receive a 20% discount on eligible full-priced merchandise when logged in to their registered Trade Account.

Trade discounts may vary by brand, category, or product type. The trade discount does not apply to:

  • Items marked as sale, clearance, or promotional
  • Gift cards or store credit
  • Special orders, custom or made-to-order items, and monogrammed or personalized pieces, unless otherwise agreed in writing
  • Limited-edition items
  • Vendor-restricted brands or products, and any items or categories expressly excluded by Kneen & Co

Trade discounts may not be combined with other promotional codes or offers unless explicitly approved by Kneen & Co. Kneen & Co reserves the right to adjust pricing, discounts, and program terms at any time.

4.2 Confidentiality of Trade Pricing

Trade pricing, discount structures, portal access, and related business information are confidential. Trade Partners may not publish, advertise, or disclose confidential pricing or account information. Login credentials may not be shared with clients, contractors, or any unauthorized third party. Violation of this policy may result in immediate termination of Trade Program privileges.

4.3 Tax Exemption

Qualified Trade Partners purchasing for eligible resale or business purposes may be eligible for tax-exempt purchasing, provided all required documentation has been submitted to and accepted by Kneen & Co. prior to or at the time of purchase. It is the Trade Partner’s sole responsibility to ensure that their tax-exempt status is current, valid, and applicable to the order and jurisdiction. Kneen & Co reserves the right to collect applicable taxes if exemption documentation is incomplete, expired, or otherwise not applicable to the transaction. Trade Partners should consult a qualified tax professional regarding their tax obligations.

5. Account Requirements & Login Obligation

All Trade Program benefits are available only to approved Trade Partners who are logged in to their registered Kneen & Co Trade Account at the time of purchase. Trade discounts, tax exemption, and other program benefits will not be applied retroactively to orders placed without an active logged-in session.

Trade Partners are responsible for maintaining the confidentiality of their account credentials, ensuring they are logged in before adding items to cart or proceeding to checkout, promptly notifying Kneen & Co of any unauthorized account access, and keeping all account information and tax documentation current. Kneen & Co is not responsible for lost benefits resulting from a Trade Partner’s failure to log in before placing an order.

6. Permitted Use of Trade Benefits

Trade Program benefits are granted solely for legitimate professional use in connection with qualifying projects, clients, or approved business purposes. Trade Partners agree not to:

  • Resell, transfer, or share Trade Program benefits with non-qualifying third parties
  • Share account credentials or portal access with unauthorized individuals
  • Purchase products at trade pricing for unauthorized personal use or resale
  • Misrepresent professional qualifications, business purpose, client project status, or tax-exempt eligibility
  • Advertise or resell products in violation of applicable brand, IMAP, or MAP policies

Misuse of Trade Program benefits may result in immediate revocation of Trade Partner status, cancellation of pending orders, and potential liability for the full retail value of products purchased at unauthorized rates.

7. Brand Restrictions & Vendor Policies

Many brands represented by Kneen & Co maintain strict policies regarding pricing, advertising, resale, and brand presentation. Trade Partners agree to comply with all applicable vendor guidelines, IMAP policies, MAP policies, and resale restrictions. Kneen & Co reserves the right to decline, cancel, or modify any order that conflicts with vendor policies, brand restrictions, or distribution requirements.

8. Product Availability & Lead Times

Items shown on the Website or a trade portal may include in-stock, special order, made-to-order, or limited-availability merchandise. Availability is not guaranteed until confirmed by Kneen & Co or the vendor. Lead times are estimates only and may vary due to production schedules, vendor delays, international shipping, customs, or other circumstances outside Kneen & Co’s control. Kneen & Co will make reasonable efforts to communicate known delays but is not responsible for vendor or carrier delays.

9. Order Review & Acceptance

All orders are subject to review and acceptance by Kneen & Co. Receipt of an order confirmation does not guarantee final acceptance of the order. Kneen & Co reserves the right to contact the Trade Partner to clarify product details, shipping charges, availability, or other order particulars before processing, and may cancel or adjust orders due to pricing errors, inventory discrepancies, vendor restrictions, or other administrative issues.

10. Payment Terms

Payment is required according to the terms provided at checkout, on invoice, or as otherwise agreed in writing. Orders may not be processed or shipped until payment has been received. For certain orders, Kneen & Co may require a deposit or payment in full before placing the order with the vendor. Credit card payments may be subject to processing fees where permitted by law.

11. Shipping, Delivery & Handling

Trade Partners are responsible for all shipping, delivery, freight, insurance, handling, duties, tariffs, customs fees, and related charges unless otherwise agreed in writing. Shipping fees are not discounted under the Trade Program.

Shipping charges displayed at checkout may be estimates and are subject to adjustment based on actual carrier costs, product dimensions, fragility, destination, or special handling requirements. Certain brands or products may require additional freight, white glove delivery, or crating charges. Kneen & Co reserves the right to contact the Trade Partner after order submission to confirm or adjust shipping charges before processing. 12. Freight, White Glove Delivery & Large Orders

Large, fragile, oversized, or high-value orders may require freight, white glove delivery, or special packing and crating services. These services may incur additional charges and may require separate approval before shipment. Delivery timelines for freight or white glove services are estimates only and may depend on carrier scheduling, delivery location, and site-specific conditions. Trade Partners are responsible for ensuring that the delivery location is accessible and prepared to receive the shipment.

13. International Shipping, Duties & Tariffs

For international orders or products imported from international vendors, the Trade Partner may be responsible for duties, tariffs, customs fees, brokerage charges, and related charges. These charges may be estimated at the time of order but are subject to change. Kneen & Co is not responsible for delays caused by customs, inspections, tariff changes, or international carrier issues.

14. Special Orders & Custom Orders

Many luxury tabletop, crystal, porcelain, linen, and decorative items are special order, custom order, or made to order. Special orders, custom orders, made-to-order items, monogrammed and personalized pieces, and other non-stock merchandise are generally final sale and may not be canceled, returned, or exchanged once the order has been placed with the vendor or entered into production. Deposits or full payment may be required before special orders are processed.

15. Receiving & Inspection

All shipments must be inspected promptly upon receipt. Any visible damage or discrepancy should be noted with the carrier at the time of delivery. Trade Partners must notify Kneen & Co of any damage, defect, missing item, or incorrect item within 48 hours of delivery. Claims submitted after this period may not be eligible for replacement, credit, or carrier claim support. All original packaging and damaged merchandise must be retained until the claim is fully resolved.

16. Damages & Claims

Kneen & Co will assist with eligible damage claims when notified within the required timeframe and when all necessary documentation is provided. Required documentation includes photographs of the damaged item, interior and exterior packaging, the shipping label, and the condition of the shipment at delivery. Replacement, repair, credit, or refund will be determined by Kneen & Co and the vendor based on the specific circumstances. Failure to retain packaging or provide timely documentation may result in denial of the claim.

17. Returns & Exchanges

Because many products sold by Kneen & Co are special order, imported, fragile, or made to order, returns are limited. All returns require prior written authorization from Kneen & Co. Unauthorized returns will not be accepted.

Approved returns may be subject to restocking fees, return shipping charges, or other costs. Final sale items, special orders, custom and made-to-order items, personalized or monogrammed pieces, discontinued items, sale items, opened linens, and items damaged after delivery are not eligible for return unless defective or otherwise approved in writing by Kneen & Co.

18. Cancellations

Cancellation requests must be submitted in writing. Kneen & Co will make reasonable efforts to accommodate cancellation requests, but cancellations are not guaranteed. Orders that have already been placed with a vendor, entered into production, packed, shipped, or otherwise processed may not be canceled. Any approved cancellation may be subject to vendor fees, restocking charges, or other costs incurred.

19. Product Variations

Many items sold by Kneen & Co are handmade, hand-finished, hand-painted, mouth-blown, or produced using traditional craft techniques. Slight variations in color, size, finish, glaze, texture, or pattern placement are considered normal and are not defects. Images shown online are for general reference; actual product appearance may vary depending on production, monitor settings, photography, or natural material characteristics.

20. Care, Use & Installation

Trade Partners are responsible for reviewing and following all vendor care instructions, installation guidelines, and product-use recommendations. Kneen & Co is not responsible for damage caused by misuse, improper cleaning, improper storage, installation errors, exposure to unsuitable environments, or failure to follow vendor instructions.

21. Client Presentation & Resale

Trade Partners may purchase products for client projects or resale, provided such use complies with applicable brand policies, tax laws, and these Trade Terms. Trade Partners are responsible for communicating accurate product information, lead times, care instructions, return limitations, and final sale restrictions to their own clients. Kneen & Co is not responsible for disputes between a Trade Partner and their client.

22. Errors & Omissions

Kneen & Co makes every effort to provide accurate product information, pricing, dimensions, availability, and shipping estimates. Errors may occur. Kneen & Co reserves the right to correct errors, cancel orders, revise pricing, adjust shipping charges, or modify order details when necessary.

23. Modifications & Termination

Kneen & Co reserves the right to modify, suspend, or discontinue the Trade Partner Program or any aspect of its benefits at any time, with or without notice. Changes to these Trade Terms will be posted on the Website and will take effect upon posting.

Kneen & Co may terminate a Trade Partner’s participation at any time for any reason, including but not limited to violation of these Trade Terms, the General Terms, vendor policies, or applicable law. A Trade Partner may terminate their participation at any time by contacting Kneen & Co.

24. Limitation of Liability & Indemnification

To the fullest extent permitted by law, Kneen & Co shall not be liable for indirect, incidental, consequential, or punitive damages arising from participation in the Trade Program, product or shipping delays, vendor issues, installation matters, client disputes, or lost business opportunities. Kneen & Co’s liability, if any, shall be limited to the amount paid for the specific product or order giving rise to the claim.

Trade Partners agree to indemnify, defend, and hold harmless Kneen & Co, its officers, directors, employees, and agents from any claims, losses, damages, costs, or expenses arising from misuse of Trade Program benefits, misrepresentation of professional qualifications, improper tax-exempt use, violation of vendor policies, or violation of these Trade Terms.
